Rapid sales growth on an expanding market

Second quarter 2022

  • Net revenue increased by 81% to SEK 1,050 million (575). Organic growth was 5%.
  • Adjusted EBITA increased to SEK 168 million (103), corresponding to a margin of 16.1% (18.0).
  • Profit for the period totalled SEK 100 million (26) and earnings per share, basic and diluted, amounted to SEK 0.75 (1.15). Adjusted earnings per share, basic and diluted, totalled SEK 0.76 (1.50).
  • Cash flow from operating activities increased to SEK 199 million (53).

First half 2022

  • Net revenue increased by 74% to SEK 1,805 million (1,032). Organic growth was 6%.
  • Adjusted EBITA increased to SEK 255 million (176), corresponding to a margin of 14.2% (17.1).
  • Profit for the period increased to SEK 133 million (58) and earnings per share, basic and diluted, amounted to SEK 0.99 (2.48). Adjusted earnings per share, basic and diluted, totalled SEK 1.07 (2.94).
  • Cash flow from operating activities increased to SEK 276 million (164).

Significant events during the second quarter

  • On 1 April, the acquisition was completed of GlassCo S.A., owner of “ExpressGlass”, which operates a vehicle glass repair and replacement business in Portugal.
  • On 4 May, the acquisition was completed of Charles Pugh Holdings Ltd, which operates a vehicle glass repair and replacement business in the UK.
  • On 29 June, CVC Fonder and Nordic Capital, through Teniralc BidCo AB (“Teniralc”), announced a public cash offer to the shareholders of Cary Group Holding AB (publ) to transfer all of the shares in Cary Group to Teniralc for a cash sum of SEK 65 per share. The independent members of Cary Group’s Board of Directors have been appointed the bid committee, which will publish its opinion on the offer no later than 8 August, i.e. two weeks before the closing date of the acceptance period for the bid. The independent bid committee has appointed financial and legal advisers and will also obtain an independent fairness opinion.

Demand was particularly strong at our newly acquired companies in Spain and Germany, but the Swedish market also experienced very high levels of demand and it is pleasing to see our market position continue to strengthen. Sales during the quarter increased by a total of 81% and amounted to SEK 1,050 million (575). Acquired companies accounted for 74% of the increased sales and organic growth amounted to 5%. Organic sales were affected by there being fewer workdays this year compared with the same period last year and this was particularly noticeable in our UK operations. Adjusted for the number of workdays, organic growth for the quarter was 7%. In an increasingly uncertain world, it is good to see that the underlying market trends remain positive, as evidenced by the continued strong organic growth”

Rapid sales growth and a strong start to the year

First quarter 2022

  • Net revenue increased by 65% to SEK 756 million (457). Organic growth was 7%.

  • Profit for the period totalled SEK 33 million (32) and earnings per share, basic and diluted, amounted to SEK 0.24 (1.29).

  • Cash flow from operating activities amounted to SEK 76 million (111).
  • On 1 January, the acquisitions were completed of German company Zentrale Autoglas GmbH, which operates a bus glass repair and replacement business, and Norwegian company MPS Bilskade AS, which operates within SMART repair.


Significant events during the first quarter

  • At the end of the first quarter, Cary Group signed an agreement to acquire 100% of the shares in UK company Charles Pugh (Holdings) Ltd. The company is one of the UK’s market leaders in vehicle glass repair and replacement, along with related wholesale business. This acquisition strengthens Cary Group’s market position in the United Kingdom and enables synergies with Cary Group’s existing UK operations. The acquisition was completed on 4 May 2022.
  • Cary Group has entered into an agreement with the company’s banks on extending the current credit facility by a further SEK 1,050 million, making the total credit facility available SEK 3,100 million. This financing secures access to capital for the company’s continued expansion.

Significant events after the first quarter

Strong organic growth and continued European expansion

Fourth quarter 2021

  • Net revenue increased by 53% to SEK 532 million (349).
  • Adjusted EBITA increased to SEK 36 million (20), corresponding to an adjusted EBITA margin of 6.7% (5.9).
  • Operating profit (EBIT) amounted to SEK 13 million (11).
  • Adjusted operating profit (EBIT) increased to SEK 22 million (13).
  • Adjusted profit for the period amounted to SEK 20 million (-20).
  • Earnings per share, basic and diluted, totalled SEK 0.10 (-0.19).
  • Cash flow from operating activities amounted to SEK -33 million (5).

Costs affecting comparability amounted to SEK 9 million (2) in the fourth quarter of 2021.

CEO Comments
When summing up 2021 and our early days as a listed company, it is clear that the business has continued to develop strongly. Sales increased by 30% overall in 2021, totalling SEK 2,141 million (1,651), primarily as a result of the acquisitions made during the year. Despite the ongoing pandemic, with lockdowns in countries including Norway and the UK, the Group’s organic growth also increased by 6% in 2021. It is pleasing to be able to report strong organic growth in sales for the year, despite the impact of Covid-19. It should be added that the stock exchange listing was a large-scale project that required a great deal of time and resources. I consider it an indication of the strength of Cary Group that we were still able to take our opportunities to increase growth through acquisitions. In the fourth quarter of 2021, which is seasonally the weakest, Cary Group’s net revenue increased by 53% overall, totalling SEK 532 million (349), with organic sales growth of 8%, driven primarily by strong demand and growth in Sweden.

In the fourth quarter, we signed agreements on two platform acquisitions and one add-on acquisition. With the two platform acquisitions, we are launching on two new geographical markets within our Rest of Europe region, namely Germany and Portugal. In Germany, this is through the acquisition of Zentrale Autoglas, a leading player in the repair and replacement of bus glass, while in Portugal it is through the acquisition of ExpressGlass, which operates a vehicle glass repair and replacement business. With the acquisition of ExpressGlass, we are expanding our position on the Iberian peninsula, which we expect to bring both operational and commercial benefits. In Norway, we signed an agreement for the add-on acquisition of MPS Bilskade, which operates within both major and minor vehicle damage repair. This acquisition gives us a stronger market position in the country and a broader offering for insurance companies, as well as greater proximity to our customers, with a considerably larger network of workshops. The acquisition is part of our Nordic expansion strategy, where we are broadening our operations within an additional vertical. All acquisitions will be completed in early 2022.

Adjusted EBITA increased by 19% in 2021 to a total of SEK 294 million, as a result of increased sales, corresponding to a profitability of 13.7% (15.0). In the fourth quarter, adjusted EBITA increased by 75% to SEK 36 million, corresponding to profitability measured in terms of adjusted EBITA margin of 6.7% (5.9). Alongside our focus on integrating newly acquired companies in order to achieve economies of scale and so increase profitability, we are also reviewing specific measures in certain countries where profitability is lower and working to improve the operational efficiency of our workshops. We are working to achieve our financial target of an adjusted EBITA margin of 20% in the medium term.

We believe that the demand for our services and the opportunity for growth is good as society opens up and restrictions due to Covid-19 gradually disappear. We look forward to integrating our newly acquired operations during 2022 and look positively at the opportunities to make further acquisitions and continue our expansion journey during the year, which is an important part of our strategy.

High acquisition pace brought strong growth

Third quarter 2021

  • Net revenue increased by 28% to SEK 577 million (450).
  • Adjusted EBITA increased to SEK 82 million (76), corresponding to an adjusted EBITA margin of 14.2% (16.8).
  • EBIT amounted to SEK 11 million (73).
  • Adjusted EBIT amounted to SEK 69 million (73).
  • Adjusted profit for the period amounted to SEK 4 million (27).
  • Earnings per share, basic and diluted, totalled SEK -0.45 (0.24).
  • Cash flow from operating activities amounted to SEK 43 million (38).

Costs affecting comparability amounted to SEK 58 million (0) in the third quarter of 2021 and related primarily to the stock exchange listing.

CEO Comments
In September, we reached an important milestone in our 73-year history with a successful listing on Nasdaq Stockholm. We are proud of the great interest in the company, both from institutional investors and from the general public, and we would like to extend a warm welcome to all new shareholders.

We are continuing our active acquisition strategy, which during the third quarter resulted in a net revenue growth of 28%. The acquisition of Ralarsa in Spain was completed during the quarter, representing another important step in our continued expansion in Europe. In its first two months, the company had a strong start within Cary Group, which further strengthens our conviction that the acquisition is a perfect fit both from a strategic and operational standpoint. We completed four acquisitions during the quarter, together representing annual revenue of just over SEK 300 million. During the year we have made 15 acquisitions in total, with annual revenue of just over SEK 500 million.

We are constantly working to increase profitability at Cary Group by reviewing and improving our business and the operational efficiency of our workshops as well as realising synergies from our acquisitions. We are now able to intensify this work as pandemic-related restrictions are relaxed. The growth of our Rest of Europe business area also gives us opportunities for further economies of scale.

We operate in a non-cyclical market with good underlying growth. As pandemic related restrictions are being eased, we are positive of organic growth prospects. Acquisitions caters our market position and enables synergies and economies of scale. We are optimistic about the opportunities in our markets and to achieve our financial goals.
